Disclaimer on Orders and Contracts

Contact ("Customer") requests IPGEN Inc. of Nevada operating
under trade name VoteReminder.com ("Vendor") to place
automated calls on Customer's behalf. Vendor is not responsible for the
content of any distributed voice messages. Customer is responsible for
recording voice messages that comply with all local, state, and federal
laws. Vendor is not responsible for the list of telephone numbers to be
called. Customer is responsible for providing all telephone numbers.
Customer agrees to indemnify, defend and hold harmless Vendor and its
members, managers, officers, employees, agents and the assigns of same,
from and against any and all loss, costs, expenses (including reasonable
attorneys' fees and expenses), claims, damages and liabilities related
to or associated with Customer's use of Vendor's services, including but
not limited to Customer's failure to ensure that telephone numbers and
voice messages comply with all applicable laws. Customer also recognizes
that not all phone numbers provided will be reachable owing to no
answers, persistent busies, disconnections, etc., but that Vendor will
attempt to contact each number paid for. Vendor will keep provided call
lists and Customer information confidential and will only comply with
government agencies through specific court orders or established
statutes that comply with the United States Constitution. Information
will be shared with third parties only so long as it is necessary to
fulfill orders, ie. credit card numbers with the bank and phone numbers
with the phone company. Customers agree that all sales are final, and
there is a no refund policy. This Agreement is made under and shall be
governed by and construed in accordance with the laws of the State of
Nevada, and any state court in Las Vegas, Nevada, shall have exclusive
jurisdiction to hear and determine any claims or disputes against
Vendor. The foregoing is in addition to standard TOS (terms of
service) and SLA (Service Level Agreements) which accompany ALL IPGEN
Inc. Voice Broadcasting and other Broadcasting services, including
without limitation all IPGEN Inc. affiliates and vendors including
upstream providers.
